MEMBERSHIP AGREEMENT, ASSUMPTION OF RISK, WAIVER, RELEASE OF LIABILITY, AND 24-HOUR ACCESS TERMS

This Membership Agreement, Assumption of Risk, Waiver, Release of Liability, and 24-Hour Access Terms Agreement is entered into by and between Riot Cardio Boxing LLC, doing business as Riot Boxing, Riot Boxing Club, and/or Riot Cardio, together with its owners, members, managers, officers, employees, independent contractors, instructors, coaches, volunteers, agents, representatives, affiliates, successors, assigns, landlords, property owners, equipment suppliers, and related entities, collectively referred to as “Riot Boxing,” “the Gym,” “we,” “us,” or “Releasees,” and the undersigned participant, member, guest, parent, guardian, or responsible party, referred to as “Participant,” “Member,” “Guest,” “I,” “me,” or “my.”

By electronically signing this Agreement, clicking “I agree,” checking an agreement box, creating an account, purchasing a membership, purchasing a class package, booking a class, entering the facility, using the facility, or participating in any Riot Boxing activity, I acknowledge that I have read, understood, and voluntarily agree to be legally bound by this Agreement.

This Agreement applies to all participation, membership, use of facilities, use of equipment, classes, events, programs, private sessions, open gym, 24-hour access, and any other activity at or connected with Riot Boxing.

This Agreement applies to, but is not limited to, the following Riot Boxing locations:

• 156 E Main Street, Tuckerton, NJ 08087

• 3304 Long Beach Blvd, Long Beach Island, NJ 08008

• Any current, future, temporary, outdoor, off-site, beach, pop-up, event, affiliated, or partner location used by Riot Boxing

1. Member Account Information

I acknowledge and agree that all personal information, membership information, billing information, emergency contact information, selected membership type, selected location, access permissions, parent/guardian information if applicable, and any other account details provided through Riot Boxing’s website, app, member management system, registration form, purchase record, or point-of-sale system are incorporated into this Agreement by reference.

I agree that it is my responsibility to keep all account information current and accurate, including my contact information, emergency contact information, payment information, and any relevant medical or safety information.

I understand that Riot Boxing may rely on the information contained in my member account/profile for billing, emergency contact, membership access, class booking, communication, policy enforcement, and enforcement of this Agreement.

2. Activities Covered by This Agreement

I understand that Riot Boxing offers physical fitness, boxing, conditioning, strength, and training activities. These activities may include, but are not limited to:

• Boxing fitness classes

• Heavy bag work

• Partner drills

• Pad work

• Mitt work

• Circuit training

• Strength training

• Conditioning workouts

• Cardio boxing

• Bootcamp classes

• Spin bike classes

• Resistance training

• Dumbbells, kettlebells, barbells, sleds, bands, medicine balls, TRX, benches, machines, ropes, bikes, and other equipment

• Open gym use

• 24-hour access use

• Youth programs

• Private training

• Group training

• Special events

• Challenges, contests, themed classes, and promotional events

• Outdoor, beach, or off-site workouts

• Any activity occurring before, during, or after class while on or near Riot Boxing property

For purposes of this Agreement, all such activities are collectively referred to as “Activities.”

3. Assumption of Risk

I understand and acknowledge that participation in Riot Boxing Activities involves inherent and unavoidable risks. These risks may be known or unknown, obvious or hidden, minor or severe.

Risks include, but are not limited to:

• Muscle strains, sprains, pulls, tears, soreness, cramping, and fatigue

• Bruises, cuts, abrasions, burns, blisters, swelling, and impact injuries

• Broken bones, dislocations, joint injuries, tendon injuries, ligament injuries, and back or neck injuries

• Head, face, eye, jaw, dental, or concussion-related injuries

• Dizziness, fainting, dehydration, overheating, nausea, shortness of breath, chest pain, heart attack, stroke, seizure, or other medical event

• Contact with bags, equipment, floors, walls, mats, ropes, bikes, benches, weights, machines, or other members

• Slips, trips, falls, collisions, or loss of balance

• Injuries caused by improper technique, overexertion, failure to follow instructions, or failure to disclose medical conditions

• Injuries caused by the actions, inactions, negligence, carelessness, recklessness, or misconduct of other members, guests, participants, trainers, contractors, or third parties

• Equipment malfunction, improper equipment use, or failure to inspect equipment before use

• Property loss, theft, or damage

• Exposure to germs, bacteria, viruses, communicable diseases, cleaning products, allergens, or other environmental conditions

• Serious bodily injury, permanent disability, paralysis, emotional distress, economic loss, or death

I understand that boxing-related fitness activities involve striking, punching, fast movement, fatigue, impact, footwork, rotation, balance demands, and physical exertion. I understand that these activities may be more intense than traditional exercise.

I voluntarily choose to participate and assume all risks, whether known or unknown, arising from or related to my participation in Riot Boxing Activities.

4. Medical Clearance and Physical Condition

I represent that I am physically and medically able to participate in Riot Boxing Activities.

I understand that Riot Boxing does not provide medical advice and is not responsible for determining whether I am medically fit to participate.

I agree that:

• I am responsible for consulting a physician before participating if I have any medical condition, injury, illness, disability, pregnancy, heart condition, respiratory condition, neurological condition, joint issue, prior surgery, or any concern about my ability to exercise.

• I will not participate while under the influence of alcohol, recreational drugs, impairing medication, or any substance that may affect my safety.

• I will stop exercising immediately if I feel pain, dizziness, shortness of breath, chest pain, nausea, weakness, confusion, unusual discomfort, or any other concerning symptom.

• I am solely responsible for knowing my limits.

• I am solely responsible for notifying Riot Boxing of any limitations, injuries, or medical concerns before participating.

5. Release of Liability

To the fullest extent permitted by New Jersey law, I hereby release, waive, discharge, and agree not to sue Riot Boxing and all Releasees from any and all claims, demands, damages, losses, costs, expenses, lawsuits, causes of action, or liability of any kind arising out of or related to:

• My participation in Activities

• My use of Riot Boxing facilities

• My use of Riot Boxing equipment

• My presence on or near Riot Boxing property

• My participation in classes, open gym, private training, events, 24-hour access, or off-site activities

• Injuries, illness, death, property loss, theft, or damage

• The actions, inactions, or negligence of myself, Riot Boxing, other participants, guests, members, staff, contractors, or third parties

This release includes claims arising from the ordinary negligence of Riot Boxing and the Releasees, to the fullest extent permitted by New Jersey law.

I understand that this Agreement is not intended to release claims that cannot legally be released under New Jersey law, including claims based on gross negligence, reckless conduct, intentional misconduct, or violations of non-waivable statutory duties.

6. Indemnification and Defense

I agree to indemnify, defend, and hold harmless Riot Boxing and all Releasees from and against any and all claims, demands, lawsuits, damages, judgments, losses, costs, attorney’s fees, expenses, or liability arising out of or related to:

• My participation in Activities

• My use of the facilities or equipment

• My violation of gym rules or policies

• My conduct or misconduct

• My failure to follow instructions

• My failure to disclose medical conditions

• My bringing a guest, minor, or unauthorized person into the facility

• Any claim brought by me, my family, my heirs, my estate, my child, my guest, or anyone claiming through me

This obligation applies even if the claim alleges ordinary negligence by Riot Boxing or any Releasee, to the fullest extent permitted by law.

7. No Guarantee of Supervision or Safety

I understand that Riot Boxing may provide instruction, coaching, programming, monitoring, surveillance, or staff presence, but Riot Boxing does not guarantee my safety.

I understand that:

• Staff may not observe every participant at all times.

• Coaches may be assisting other members.

• Equipment may be used by multiple members throughout the day.

• Other members may act carelessly or unpredictably.

• Surveillance cameras do not prevent all incidents.

• Emergency assistance may not be immediately available.

• During 24-hour or unstaffed access, no staff may be present.

I remain responsible for my own safety at all times.

8. Equipment Use and Facility Rules

I agree to use all equipment properly, safely, and only for its intended purpose.

I agree that:

• I will inspect equipment before use.

• I will not use equipment that appears broken, damaged, loose, unsafe, or unfamiliar.

• I will ask for help if I do not know how to use equipment.

• I will not drop, throw, slam, misuse, damage, or abuse equipment.

• I will return equipment to its proper place after use.

• I will wipe down equipment after use.

• I will wear appropriate clothing and closed-toe athletic shoes.

• I will follow all posted signs, staff instructions, app policies, booking policies, and facility rules.

• I will not engage in horseplay, fighting, sparring, unsafe contact, harassment, intimidation, threats, or disruptive behavior.

Riot Boxing may suspend or terminate my membership or access at any time for unsafe, inappropriate, disrespectful, illegal, or disruptive conduct.

9. Boxing, Contact, and Sparring Policy

I understand that Riot Boxing is primarily a fitness boxing facility unless a specific program says otherwise.

I agree that:

• I will not spar, fight, strike another person, engage in unsupervised contact, or participate in live combat unless expressly authorized by Riot Boxing management.

• I will not attempt advanced boxing drills, partner contact, or high-risk activity without instruction and approval.

• I understand that bag work, pad work, partner drills, and boxing movement still carry risk of injury.

Any unauthorized fighting, sparring, reckless contact, or aggressive conduct may result in immediate removal, membership termination, and possible legal action.

10. Personal Belongings

I understand that Riot Boxing is not responsible for lost, stolen, or damaged personal property.

I agree that I am responsible for securing my own belongings, including but not limited to phones, wallets, keys, jewelry, clothing, bags, boxing gloves, hand wraps, shoes, and personal equipment.

I release Riot Boxing from any claim related to lost, stolen, misplaced, or damaged property.

11. Emergency Medical Care

In the event of injury, illness, or emergency, I authorize Riot Boxing staff, contractors, members, volunteers, or emergency responders to provide or arrange reasonable emergency assistance, including but not limited to:

• First aid

• CPR

• AED use

• Calling 911

• Emergency medical transportation

• Sharing relevant information with medical personnel

I understand that Riot Boxing is not required to provide medical care and that staff may not be trained medical professionals.

I agree that I am financially responsible for all medical care, ambulance charges, hospital bills, follow-up care, and related costs.

I understand that I should maintain my own health insurance.

12. Communicable Disease and Illness

I agree not to enter Riot Boxing facilities or participate in Activities if I am experiencing symptoms of contagious illness or if I have been advised to isolate or avoid public activity.

I understand that participation in indoor fitness activities may involve exposure to viruses, bacteria, germs, sweat, bodily fluids, and other health risks.

I voluntarily assume those risks and release Riot Boxing from claims related to exposure, illness, infection, or disease, to the fullest extent permitted by law.

13. Guests, Trial Classes, Drop-Ins, and Visitors

This Agreement applies to all guests, trial members, drop-ins, visitors, and prospective members.

I agree that:

• Guests may not participate unless they have completed all required waivers and registration steps.

• I may not bring unauthorized guests into the facility.

• I may not allow anyone to use my membership, account, key fob, access card, app access, door code, or login.

• I am responsible for any guest I bring or allow into the facility.

• I may be charged fees or have my membership terminated if I allow unauthorized access.

14. Minor Participants

If the participant is under 18 years old, a parent or legal guardian must complete the required account setup, consent process, and electronic signature process.

As parent or guardian, I represent that I have legal authority to sign on behalf of the minor participant.

I understand and agree that:

• The minor participant is subject to all risks described in this Agreement.

• I consent to the minor’s participation.

• I release Riot Boxing from claims brought by or on behalf of the minor, to the fullest extent permitted by law.

• I agree to indemnify and defend Riot Boxing from claims arising out of the minor’s participation.

• I am responsible for ensuring the minor follows all rules, instructions, and safety requirements.

All minor participant and parent/guardian information provided through Riot Boxing’s member management system, registration form, website, app, or account profile is incorporated into this Agreement by reference.

15. Photo, Video, and Media Consent

I consent to Riot Boxing photographing, filming, recording, or otherwise capturing my image, voice, likeness, name, and participation in classes, events, training, or facility activities.

I authorize Riot Boxing to use such photos, videos, recordings, or likenesses for:

• Social media

• Website content

• Advertising

• Promotional materials

• Internal training

• Member highlights

• Marketing campaigns

• Printed materials

I understand that I will not receive compensation for such use.

If I do not want to be photographed or recorded, I must notify Riot Boxing in writing. I understand Riot Boxing will make reasonable efforts to honor that request but cannot guarantee I will never appear in the background of group or facility content.

16. Membership Type and Access

My membership type, package, class pack, drop-in, trial, guest pass, promotional offer, selected location, access permissions, and billing terms are reflected in Riot Boxing’s member management system, purchase record, website, app, or point-of-sale system and are incorporated into this Agreement by reference.

Membership benefits, class access, booking privileges, location access, guest privileges, and package limits are determined by the specific membership or package purchased.

Membership does not guarantee availability in any specific class, time slot, coach schedule, program, or location.

Riot Boxing may modify class schedules, trainers, operating hours, equipment availability, class capacity, programming, and facility access at its discretion.

17. Dual-Location and All-Access Terms

Riot Boxing may offer memberships or packages that provide access to one location, both locations, or all current and future locations.

Unless the purchased membership specifically states otherwise, membership access is limited to the location, package, or plan selected at signup.

The current Riot Boxing locations are:

• Tuckerton: 156 E Main Street, Tuckerton, NJ 08087

• Long Beach Island: 3304 Long Beach Blvd, Long Beach Island, NJ 08008

All-location access, guest privileges, founding member perks, 24-hour access, and special programs may require separate approval, separate fees, or a specific membership type.

18. Booking, Cancellation, No-Show, Late Arrival, and Walk-In Policy

Members are responsible for booking classes properly through the approved Riot Boxing booking system.

Unless otherwise stated in writing:

• Classes must be booked before the booking cutoff.

• Cancellations must be completed through the member portal or approved booking system.

• Email, text, phone, social media, or verbal cancellations may not be accepted.

• Members who do not cancel within the required window may be charged a no-show fee.

• Members who arrive without booking may be charged a walk-in/manual-add fee.

• Members who arrive late may be refused entry.

• Staff are not required to allow late entry once class has started.

• Fees may be automatically charged through the member management system.

All attendance-related fees and booking requirements are enforced automatically through our member management system. Staff are unable to waive or modify these charges.

Current fees may include, but are not limited to:

• No-show fee

• Late-cancel fee

• Walk-in/manual-add fee

• Returned payment fee

• 24-hour access fee

• Cleaning fee

• Damage fee

• Lost access card/key fob fee

Riot Boxing may update booking rules, class cutoff times, cancellation windows, and fees upon notice to members.

19. Payment Authorization

I authorize Riot Boxing and its payment processors to charge my payment method for:

• Membership dues

• Class packages

• Drop-ins

• Guest passes

• Personal training

• Events

• Retail purchases

• Late fees

• No-show fees

• Walk-in/manual-add fees

• Returned payment fees

• 24-hour access fees

• Damage or cleaning fees

• Any other charges I authorize or incur under this Agreement

I understand that monthly memberships are billed automatically on a recurring basis until properly cancelled.

I agree to keep a valid payment method on file.

If payment is declined, Riot Boxing may suspend membership access, charge returned payment fees, retry payment, or require payment before further participation.

20. Auto-Renewal and Cancellation

I understand that my membership is a paid recurring membership and will continue to bill automatically until cancelled according to Riot Boxing’s cancellation policy and applicable law.

Unless a different written term applies, membership continues month-to-month after the initial term.

Cancellation requests must be submitted through the approved cancellation method provided by Riot Boxing.

Unless prohibited by law, cancellation requires at least 30 days’ notice before the desired cancellation date. I understand that if a billing date occurs within the required notice period, one final payment may be charged.

Cancellation does not erase past-due balances, fees, retail purchases, no-show fees, late fees, or other amounts owed.

Memberships are not cancelled by:

• Failing to attend

• Telling a coach verbally

• Sending a social media message

• Disputing a charge without proper cancellation

• Removing a payment method

• Moving away without submitting a cancellation

• Not using the facility

21. Refunds, Freezes, Transfers, and Promotions

Unless otherwise required by law or expressly stated in writing:

• Membership dues are non-refundable.

• Class packs are non-refundable.

• Promotional offers are non-refundable.

• Unused classes do not convert to cash.

• Memberships may not be transferred or shared.

• Freezes must be requested and approved according to Riot Boxing policy.

• Founding member rates, discounts, promotional rates, and special offers may be limited, conditional, non-transferable, and subject to separate terms.

Riot Boxing may revoke discounts, promotions, or special access if a member violates this Agreement, fails payment, cancels, freezes outside the allowed policy, or abuses membership privileges.

22. 24-Hour Access Terms

This section applies only to members approved for 24-hour access.

My 24-hour access approval status, access permissions, fees, and restrictions are reflected in Riot Boxing’s member management system, access control system, app, purchase record, or account profile and are incorporated into this Agreement by reference.

I understand that 24-hour access may include unstaffed or minimally staffed hours. During these times:

• No coach, employee, security guard, or staff member may be present.

• Emergency help may not be immediately available.

• Surveillance cameras may be present but may not be monitored live.

• Other members may be present without staff supervision.

• Equipment issues, facility issues, or emergencies may not be discovered immediately.

I voluntarily assume all risks of using the facility during 24-hour or unstaffed access.

23. 24-Hour Access Rules

If approved for 24-hour access, I agree that:

• I must be at least 18 years old.

• I must complete any required orientation.

• I must use only my own access card, key fob, app, code, or entry method.

• I will not share my access with anyone.

• I will not allow guests, friends, family, minors, non-members, or unauthorized individuals to enter during unstaffed hours.

• I will not hold the door open for anyone.

• I will not prop doors open.

• I will make sure the door closes securely behind me.

• I will immediately report suspicious activity.

• I will call 911 in an emergency.

• I will not perform unsafe maximum-effort lifts while alone.

• I will use safety racks, collars, pins, and equipment properly.

• I will not use equipment I am unfamiliar with.

• I will clean up after myself.

• I will not leave garbage, mud, spills, sweat, or equipment behind.

• I will not sleep, loiter, film inappropriate content, host others, conduct outside training, or use the facility for any unauthorized purpose.

Violation of 24-hour rules may result in immediate termination of 24-hour access, membership termination, fees, and possible legal action.

24. Surveillance and Security

I understand and agree that Riot Boxing may use video surveillance, entry logs, access control systems, cameras, and other security measures.

I understand that surveillance is used for safety, security, rule enforcement, damage review, and business operations.

I understand that surveillance does not guarantee safety, prevent injury, prevent crime, or guarantee immediate response.

25. Damage, Cleaning, and Unauthorized Access Fees

I agree to pay for any damage, cleaning, replacement, repair, or loss caused by me, my guest, my child, or any unauthorized person I allow into the facility.

This includes, but is not limited to:

• Damaged equipment

• Broken doors, locks, cameras, mirrors, walls, flooring, bags, bikes, weights, mats, bathrooms, or fixtures

• Excessive cleaning

• Trash left behind

• Mud, spills, stains, or unsanitary conditions

• Lost or damaged access cards, key fobs, or devices

• Unauthorized guest entry

I authorize Riot Boxing to charge my payment method for such fees.

26. Conduct, Termination, and Removal

Riot Boxing may deny access, suspend membership, terminate membership, remove a person from class, revoke 24-hour access, or ban a person from the facility for any reason deemed unsafe, inappropriate, disruptive, disrespectful, illegal, or harmful to the business, staff, members, guests, or property.

Prohibited conduct includes, but is not limited to:

• Harassment

• Threats

• Discrimination

• Fighting

• Unauthorized sparring

• Theft

• Vandalism

• Drug or alcohol use

• Unsafe equipment use

• Filming others without permission

• Sexual misconduct

• Aggressive behavior

• Repeated no-shows

• Payment disputes or unpaid balances

• Sharing access credentials

• Bringing unauthorized guests

• Violating posted rules or staff instructions

Termination for cause does not require Riot Boxing to issue a refund unless required by law.

27. Independent Contractors and Trainers

I understand that some coaches, instructors, trainers, service providers, or event personnel may be independent contractors.

I agree that this Agreement applies to Activities conducted by employees, contractors, coaches, instructors, guest instructors, substitutes, volunteers, and event staff acting at or in connection with Riot Boxing.

28. No Outside Training or Commercial Use

I may not use Riot Boxing facilities to train, coach, instruct, solicit, sell to, recruit, film commercial content with, or provide services to others without written permission from Riot Boxing management.

Violation may result in immediate membership termination.

29. Agreement to Follow Updated Policies

I understand that Riot Boxing may update rules, policies, schedules, fees, booking procedures, cancellation procedures, safety rules, 24-hour access rules, and facility procedures.

Updated policies may be posted in the facility, sent by email, posted on the website, listed in the member app, or otherwise made available.

Continued use of Riot Boxing after notice of updated policies constitutes acceptance of those policies.

30. Governing Law and Venue

This Agreement shall be governed by the laws of the State of New Jersey.

Any legal action arising out of or related to this Agreement, membership, participation, payment, injury, facility use, or Riot Boxing services shall be brought in the appropriate state or federal court located in New Jersey, unless otherwise required by law.

31. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

If any provision is found to be overly broad, it shall be modified and enforced to the maximum extent permitted by law.

32. Entire Agreement

This Agreement contains the entire understanding between the parties and supersedes all prior oral or written statements, promises, representations, advertisements, discussions, or agreements regarding the subject matter of this Agreement.

No oral statement by any employee, coach, trainer, contractor, or representative may modify this Agreement.

33. Electronic Signature Acknowledgment

By electronically signing this Agreement, clicking “I agree,” checking an agreement box, completing registration, purchasing a membership or class package, booking a class, entering the facility, or participating in any Riot Boxing activity, I acknowledge that I have read, understood, and voluntarily agree to this Agreement.

I understand that my electronic signature has the same legal effect as a handwritten signature.

I further acknowledge that this Agreement applies to all Riot Boxing locations, including:

• 156 E Main Street, Tuckerton, NJ 08087

• 3304 Long Beach Blvd, Long Beach Island, NJ 08008

• Any future, temporary, outdoor, off-site, pop-up, or affiliated Riot Boxing location

I understand that this Agreement remains in effect for my initial and all future participation, visits, memberships, renewals, purchases, classes, events, and use of Riot Boxing facilities unless replaced by a newer written agreement.

34. Final Acknowledgment

I acknowledge and agree that:

• I have read this Agreement carefully.

• I understand that this is a legally binding contract.

• I understand that I am giving up certain legal rights.

• I understand that I am assuming risks, including risk of serious injury or death.

• I understand that this Agreement applies to all Riot Boxing locations, including Tuckerton and Long Beach Island.

• I understand that this Agreement applies to current and future participation.

• I understand that all information entered into my Riot Boxing member profile, registration form, purchase record, billing account, access account, or member management system is incorporated into this Agreement and may be relied upon by Riot Boxing.

• I am signing freely and voluntarily.

• I have had the opportunity to ask questions before signing.

• I am not relying on any oral promise or statement not written in this Agreement.

By signing electronically, I agree to all terms of this Agreement.
